About us

Metadome.ai provides AI/LLM-powered tools and Services that enable Users to process, analyse, transform and generate visual and instructional Output relating to machines, machine parts, engineering, technical information, repair, maintenance and related use cases through the Site and/or Services. The Services may include, without limitation, converting or reconstructing a two-dimensional image into an AI-generated or inferred three-dimensional representation, and generating animated or instructional videos based on three-dimensional data, machine information, repair instructions or instructions concerning the opening, closing, assembly, disassembly, repair or maintenance of a machine or machine component.

The Services are intended to provide AI-assisted visualization, interpretation and informational assistance. Outputs generated through the Services may be based on incomplete, limited or partially visible information and may include predictions, estimates, assumptions or inferences that do not correspond to the actual physical object, machine, component, dimensions, specifications, operating conditions or repair procedure.

Services

Our Services are designed to enable Users to access and use AI/LLM-powered tools for analyzing, interpreting, processing and generating Output relating to machines, machine parts, engineering and technical information. Our Services may include, without limitation:

• AI/LLM-powered analysis and interpretation of engineering, technical and machine-related information;
• Processing of photographs, images and other visual representations of machines, machine parts or components;
• 2D-to-3D conversion, reconstruction, visualization or generation;
• Generation of AI-assisted 3D images, representations, models, visualizations or other Output based on User Inputs;
• Generation of animated and instructional videos based on 3D data, machine information, repair instructions, assembly instructions, disassembly instructions or other User Inputs;
• Tools for repair, maintenance, aftermarket service, manufacturing, engineering, training and related use cases;
• Tools and functionality made available through the Platform from time to time; and
• Marketing and communications, relating to our Services, including through our Website, newsletters, emails and other communications.

You may use our Services in the following ways:

• Account Registration: signing up for a Metadome.ai account may allow you to access and use our Services;
• Uploading and Processing User Inputs: you may upload, submit or otherwise provide User Inputs, including images, photographs, engineering drawings, technical drawings, CAD files, 3D data, machine-part information, repair instructions, manuals, specifications and other content for processing by our Services;
• Receiving Outputs: you may receive Outputs generated from your User Inputs, including 3D representations, models, visualizations, animations, instructional videos, analyses and other generated Output; and
• Marketing and Informational Access: accessing and viewing our Website and receiving or responding to emails and other marketing Output, including newsletters and updates.

Using our Services

In connection with using or accessing our Services, you agree to comply with these Terms and all applicable laws, rules, and regulations, and you will not:

• violate any laws, third-party rights or our policies;
• use our Services if you are under the applicable minimum age permitted under these Terms or applicable law;
• provide false, inaccurate, misleading, deceptive, defamatory, or unlawful content;
• upload or submit any User Input that you do not have the right, authorization, licence, permission or lawful basis to use or provide to us;
• upload or submit any Output that infringes, misappropriates or otherwise violates any intellectual property, confidentiality, privacy, trade secret or other rights of any third party;
• upload viruses, harmful code, malware or other material that may interfere with or damage the Services;
• use bots, scrapers, crawlers or automated means to access or extract information from the Services without our prior written authorization, interfere with or overload our Services, or attempt to bypass technical, security or access-control measures;
• reverse engineer, decompile, disassemble or attempt to derive source code, algorithms, models or underlying technology of the Services, except to the extent expressly permitted by applicable law;
• use the Services to develop, train or improve a competing product or service, except with our prior written authorization;
• commercialize, resell, sublicense or otherwise exploit our Services or Outputs except as expressly permitted under the applicable Service plan or written agreement;
• use the Services for any unlawful, fraudulent, harmful or malicious purpose;
• use Outputs for safety-critical purposes without appropriate independent verification;
• represent an AI-generated Output as an independently verified engineering drawing, technical specification, certification, measurement or professional engineering determination;
• use an Output as the sole basis for manufacturing, fabrication, construction, installation, repair, modification, operation or maintenance of machinery or equipment;
• use the Services to generate instructions that are intended to bypass safety mechanisms, disable safety controls or facilitate unlawful or unsafe activities; or
• violate any intellectual property rights belonging to Metadome.ai or others.

Failure to meet these standards may result in limitations, suspension, or termination of your account or access to the Services.

Your account with Metadome.ai

To access certain features of the Services you must create an account.

• Information required: you may be required to provide your name, email address, organization details, contact information and other information necessary to create and maintain your account.
• Eligibility: you must be at least 18 years old to create an account and use the Services independently. Individuals between the ages of 13 and 17 may only use the Services through an account created and supervised by a parent or legal guardian who agrees to these Terms. Children under 13 years are not permitted to access or use the Site or the Services. This clause should be read together with the Privacy Policy, as updated from time to time.
• Accuracy: you agree to provide accurate information when creating an account and to keep information updated. You may not use false information or misrepresent your identity.
• Account responsibility: you are solely responsible for all activities conducted through your account. If you permit others to use your account, you remain responsible for all activity associated with it. Accounts are personal and may not be transferred or assigned.
• Account security: you are responsible for maintaining the confidentiality of your login credentials and for restricting access to your account. You agree to notify Metadome.ai immediately of any unauthorized access or use of your account.
• Verification: Metadome.ai may require verification of your identity or organization where reasonably necessary to provide or secure the Services.
• Multiple accounts: authentication is conducted through your registered email ID. Where applicable, we may require email verification for email/password accounts. Accounts authenticated through integrated login services may not require separate email verification. The Site may track unique device identifiers to prevent misuse. Creating multiple accounts to bypass restrictions, verification, or enforcement actions is prohibited.

As a condition of using the Services, you agree to the terms of Metadome.ai’s Privacy Policy, as updated from time to time. Any personal information you provide is subject to our Privacy Policy, which is incorporated into these Terms by reference.

No agency relationship: nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Metadome.ai.

User Inputs

The definition of “User Inputs” should be taken from the Privacy Policy, as updated from time to time.

You are solely responsible for ensuring that you have all rights, permissions, licences, consents and other lawful authority necessary to submit, upload, transmit or otherwise provide any User Inputs to us and to permit us to process such User Inputs through the Services.

You must not submit any User Input that you are prohibited from disclosing to us or that you are not authorized to provide for processing through the Services.

If you are submitting User Inputs on behalf of a company, employer, client, customer or other third party, you are responsible for obtaining all necessary authorizations and permissions before submitting such User Inputs.

You acknowledge that User Inputs may contain confidential, proprietary, trade secret, commercially sensitive or other protected information. You are responsible for determining whether particular information is appropriate for submission to the Services.

Unless expressly agreed otherwise in writing, you should not submit information where doing so would violate any confidentiality obligation, contractual restriction, intellectual property right, trade secret obligation or applicable law.

2D-to-3D conversion

Certain Services may allow you to upload a two-dimensional image, photograph or other visual representation of a machine, machine part, component, product or other object and generate a three-dimensional representation, model, image or visualization based on such User Input.

The generated Output may include information, features, dimensions, surfaces, structures or portions of an object that are not visible in the original User Input. Such information may be inferred, estimated, predicted or generated by our AI systems. For example, if you upload an image showing only one side of a machine component, the Services may generate an estimated representation of the other side or portions of the component that are not visible in the original image.

Such Output is an AI-generated prediction or visualization and may not accurately reflect the actual physical object. You should not treat such Output as a verified measurement, engineering drawing, manufacturing drawing, CAD specification, technical specification or representation of the actual physical object unless independently verified by a suitably qualified professional.

Where a User uploads an image of a proprietary product, machine, component or other object, the User is solely responsible for ensuring that the User has the right or authorization to use such image and submit it to the Services.

The Services do not provide any representation or warranty that a generated 3D Output may lawfully or safely be used to reproduce, manufacture, fabricate, modify or otherwise create a physical product or component based on the Output.

Animated and instructional videos

Certain Services may allow you to provide 3D data, machine information, repair instructions, assembly or disassembly instructions, manuals, photographs or other User Inputs and generate animated or instructional videos.

Such videos may illustrate procedures relating to opening, closing, assembling, disassembling, repairing, servicing, maintaining or otherwise interacting with machines, machine parts or equipment.

The generated video is intended to provide informational and visual assistance and may not reflect the exact physical configuration, operating conditions, safety requirements or manufacturer-approved procedure applicable to a particular machine or product.

You are solely responsible for verifying the accuracy, completeness and suitability of any generated video or instructions before using them for actual repair, maintenance, servicing, assembly, disassembly or operation of any machine or equipment.

Where a manufacturer’s manual, service bulletin, technical instruction, safety procedure or other authoritative source is available, you should consult and follow such source before relying on any Output generated by the Services.

Outputs

The definition of “Output” should be taken from the Privacy Policy, as updated from time to time.

You acknowledge that Outputs may contain errors or inaccuracies, including errors arising from incomplete User Inputs, poor image quality, missing information, incorrect assumptions or limitations of the underlying AI technology.

You are solely responsible for reviewing and independently verifying Outputs before using or relying upon them.

Nothing in an Output shall be interpreted as a certification, professional engineering opinion, safety certification, manufacturing approval, compliance certification or representation that a particular product, component, machine, repair procedure, manufacturing process or facility is safe, suitable or fit for any purpose.

No reliance for safety-critical or commercial decisions

The Services and Outputs are intended to provide AI-assisted analysis, visualization, interpretation and informational assistance and are not a substitute for professional engineering judgment, inspection, testing, manufacturer specifications, safety procedures, technical manuals, applicable standards or other professional advice.

You should independently verify all Outputs before relying upon them for:

• manufacturing or fabrication;
• design or engineering decisions;
• construction or installation;
• modification or repair of machinery or equipment;
• operation of machinery or equipment;
• selection of materials, components, dimensions, tolerances or specifications;
• establishing or modifying a manufacturing plant, production line, assembly line or other industrial facility;
• safety-critical activities;
• regulatory or compliance decisions; or
• any activity where an inaccurate or incomplete Output could result in injury, property damage, equipment failure, production loss, regulatory non-compliance or other harm.

If you intend to manufacture, fabricate, reproduce, modify, install, repair or otherwise act upon a physical product or component based on an Output, you are solely responsible for obtaining appropriate professional review, measurements, testing, engineering validation, CAD validation, material validation and other verification necessary for the intended use.

The establishment, operation, testing, commissioning or modification of any plant, production facility, manufacturing line, machine or industrial system remains solely your responsibility and should be undertaken only after appropriate professional engineering review and validation.

Respecting other Users’ privacy and information

In using the Services, you may receive or access information belonging to another User, organization, customer or third party.

You agree to use such information solely for purposes related to the Services and in accordance with all applicable confidentiality, privacy and data protection obligations.

You must not disclose, reproduce, misuse, commercialize or otherwise exploit another User’s confidential, proprietary or Personal Data without appropriate authorization.

To the extent permitted by applicable law, you agree to indemnify and hold Metadome.ai harmless from claims arising from your unauthorized processing, disclosure or misuse of information obtained through the Services.

Termination

You may terminate your Metadome.ai account at any time through your account settings.

Metadome.ai reserves the right to suspend or terminate your account and restrict your access to the Services if we believe that you, your User Inputs, or your use of the Services violates these Terms, our policies or applicable law. We may also suspend or terminate access where:

• your account is fraudulent or created using false information;
• you repeatedly violate these Terms;
• you misuse or attempt to circumvent technical or security restrictions;
• you submit infringing, unlawful or unauthorized content;
• your use of the Services creates a security, legal or operational risk; or
• payment for paid Services is not successfully completed.

If your account is suspended or terminated, you do not have a contractual or legal right to continue using the Services.

Where appropriate, Metadome.ai will provide notice of suspension or termination unless legal, regulatory, security or other circumstances prevent us from doing so.

All provisions of these Terms that by their nature should survive termination shall remain in effect after termination.

Third-party websites and services

The Services may contain links to third-party websites or resources that are not owned or controlled by us. We do not control, endorse, or assume responsibility for any third-party sites, content, advertising, products, or services available through such websites.

Our Services may also incorporate or rely upon third-party AI, machine-learning, cloud, hosting, storage, analytics, authentication or other technology services. Your use of such third-party services may be subject to the applicable third party’s terms and privacy practices.

Your interactions with such third-party websites are solely between you and the applicable third party, and you access them at your own risk. We shall not be responsible or liable for any loss or damage arising from your use of or reliance on any third-party websites, services, technology or resources.

Intellectual property

The Site, Services, software, models, algorithms, interfaces, documentation, Output, branding and other materials made available by Metadome.ai, excluding User Inputs except to the extent expressly provided in these Terms, are owned by or licensed to Metadome.ai and are protected by applicable intellectual property laws.

All right, title and interest in and to the Output shall vest in Metadome.ai. You are granted a limited licence to use the Output solely for the purposes permitted under these Terms and the applicable Service plan.

Except as expressly permitted in these Terms, you may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit or otherwise exploit our Output without prior written permission from us or the applicable rights holder. The following limited uses are permitted:

• your device may temporarily store copies of materials in RAM incidental to your access and viewing of the Services;
• you may store files that are automatically cached by your web browser for display enhancement purposes; and
• you may download or use Output made available to you through the Services solely for the purposes permitted under these Terms and the applicable Service plan.

User Inputs and Outputs

As between you and Metadome.ai, you retain such rights as you may have in your User Inputs, subject to the rights and licences expressly granted under these Terms.

By submitting User Inputs through the Services, you grant Metadome.ai a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, modify, transmit and otherwise use such User Inputs solely as reasonably necessary to provide, operate, secure, maintain and improve the Services, and for the other purposes described in our Privacy Policy.

Where permitted by applicable law and our applicable policies, User Inputs and associated interactions shall be used to develop, train, fine-tune, evaluate, test and improve our AI/ML models and Services.

You acknowledge that AI-generated Outputs may not be unique and that similar or identical Outputs may be generated for other Users.

To the extent permitted by applicable law, Metadome.ai does not claim ownership of your User Inputs merely because you submit them to the Services.

You are solely responsible for determining whether an Output is sufficiently accurate, original, suitable or legally protectable for your intended use.

Intellectual property infringement

Metadome.ai respects the intellectual property rights of others and expects Users to do the same. If you believe that any Output available through our Services infringes your intellectual property rights, you may submit a written notification containing sufficient information to allow us to identify the allegedly infringing material and assess your claim.

We reserve the right to remove or disable access to Output that we reasonably believe may infringe third-party rights and may take appropriate action against repeat infringers. Notices may be submitted to info@metadome.ai.

Subscription Services terms

These Subscription Services Terms describe the terms pursuant to which Metadome.ai shall offer you access to paid subscription Services and related tools, applications and functionalities (together, “Subscription Services”). You are contracting with us when you sign up for Subscription Services, and as a User, you agree to be bound by the most recently updated version of these Subscription Services Terms.

Subscription Services

Your use of Subscription Services is subject to all applicable Terms and policies. The Subscription Services operate on a credit-based model. Upon payment for a selected Service plan, you will be allocated the number of credits specified for that plan.

The applicable number of credits, validity period (if any), features, usage limits, processing limits, storage limits and other restrictions will be specified in the relevant subscription plan or order form. Credits may be used to access and use the applicable Services and functionalities made available under your selected Service plan.

Once your allocated credits have been fully utilized or exhausted, you will not be able to access or use the applicable credit-based Services unless and until you make an additional payment for the purchase or renewal of credits, as may be made available by Metadome.ai. Any unused credits will be treated in accordance with the terms of the applicable Service plan, including any applicable expiry, rollover or forfeiture terms specified at the time of purchase.

Fees for Subscription Services

By using our Subscription Services, you agree to pay all applicable fees associated with the selected subscription or Service plan and the credits made available under such plan. Fees, credit allocations, usage limits and features may vary depending upon the Service plan selected by you.

You must provide a valid payment method where payment is required for access to the Services or for the purchase or renewal of credits. You authorize Metadome.ai or its authorized payment service providers to charge the applicable fees to your selected payment method.

If payment is unsuccessful, we may suspend or restrict access to paid features or the purchase or renewal of additional credits until payment is successfully completed. Once the credits allocated to you under a Service plan have been exhausted, you must make the applicable payment to purchase or renew additional credits in order to continue using the relevant credit-based Services.

Unless otherwise stated or required by applicable law, fees paid for Subscription Services or for the purchase or renewal of credits are non-refundable.

Cancelling your subscription

You may cancel your subscription in accordance with the cancellation mechanism made available through the Services or by contacting us. Unless otherwise stated, cancellation will take effect at the end of the applicable paid subscription period. Cancellation does not automatically entitle you to a refund of amounts already paid, including amounts paid for unused credits, except where required by applicable law or expressly agreed by us.

Changing your subscription

You can change your subscription at any time. If you wish to move from yearly to monthly or from monthly to yearly, you may cancel your current subscription and sign up for the alternative. The cancellation terms above apply.

Changes to fees and Subscription Services

Metadome.ai may modify Subscription Services, credit allocations and related fees from time to time. We will provide advance notice of any material price changes, and you may cancel before the change takes effect.

Metadome.ai reserves the right to cancel your Services subscription at any time or decline to renew your Services subscription if you fail to comply with the Agreement and all accompanying policies and procedures, including these Subscription Services Terms.

Policy enforcement

Metadome.ai may regulate access to the Services at its sole discretion, including blocking, filtering, suspending, terminating, removing content, restricting functionality, limiting processing or restricting accounts. You agree not to bypass such measures.

We may refuse, modify or discontinue Services at any time and are not liable for exercising or not exercising these rights, to the extent permitted by applicable law.

If we believe you are violating these Terms or applicable law, we may investigate and take appropriate technical or legal action, including account termination and notifying relevant authorities where appropriate.

Fees and taxes

Access to the Services requires a paid subscription or applicable service plan, as further described in the Subscription Services terms above. We do not offer free or unlimited use of the Services except where expressly stated in a specific Service plan, trial, or promotional offer.

You agree to pay all fees applicable to your selected Service plan, including any usage-based, credit-based, or processing fees specified at the time of purchase or in the applicable order form.

You are solely responsible for all applicable taxes, duties, levies, or similar governmental charges associated with your use of the Services, other than taxes based on our net income, except where such taxes are expressly included in the fees disclosed to you at checkout.

Where required by applicable law, we may collect and remit certain taxes (such as GST, VAT, or sales tax) on your behalf as part of the fees charged. Any such collection does not relieve you of responsibility for other taxes or charges arising from your use of the Services.

Failure to pay applicable fees or comply with this clause may result in suspension or termination of your access to the Services, in accordance with the Termination and Fees for Subscription Services provisions of these Terms.

Communications, monitoring and use of information

By using our Services, you consent to receive communications from Metadome.ai, including emails, notifications and, where permitted by applicable law, calls or text messages regarding your account, Services, transactions or use of the Services.

Our collection, use and protection of Personal Data is governed by our Privacy Policy.

Metadome.ai may monitor, review or record communications or interactions with the Services for purposes such as security, fraud prevention, compliance, troubleshooting and service improvement, subject to applicable law.

Our systems may automatically scan and analyze certain interactions or Output to detect violations of these Terms, security threats, unlawful activity or misuse of the Services.

You agree to use any information about other Users solely for purposes related to the Services and not for unauthorized disclosure or misuse.

No personal or professional advice

The Site, Services, and all Outputs are provided for informational and technological assistance purposes only and do not constitute professional engineering, technical, manufacturing, repair, maintenance, safety, legal, financial or other professional advice.

Metadome.ai does not verify, certify or endorse any AI-generated Output as an accurate representation of a physical product, machine, component, repair procedure, manufacturing process or technical specification.

You rely upon Outputs at your own risk and are responsible for obtaining appropriate professional advice and independent verification before relying on an Output for any consequential purpose.

Disclaimer of warranties and limitation of liability

We strive to keep our Services safe and functional, but we do not guarantee uninterrupted or error-free operation.

To the fullest extent permitted by law, the Services, User Outputs and all AI-generated Outputs are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, reliability, non-infringement or that the Outputs will meet your requirements.

We do not warrant that any Output will be accurate, complete, error-free, current or suitable for any particular machine, component, product, manufacturing process, repair procedure or other purpose.

To the fullest extent permitted by law, Metadome.ai shall not be liable for any indirect, incidental, consequential, special or exemplary damages, including loss of profits, revenue, data, business, production, goodwill or reputation, arising out of or relating to:

• your use of the Services;
• your User Inputs;
• any AI-generated Output;
• your reliance upon or use of an Output;
• manufacturing, fabrication, repair, maintenance, installation or modification undertaken based on an Output;
• equipment failure, property damage, production loss or business interruption;
• delays, errors or interruptions in the Services; or
• your violation of these Terms or applicable law.

To the fullest extent permitted by law, Metadome.ai shall not be responsible for any injury, loss or damage resulting from your failure to independently verify an Output or to follow applicable safety procedures, manufacturer instructions, technical documentation or professional advice.

If liability is established, our total aggregate liability arising out of or relating to the Services shall not exceed the greater of (a) the amounts actually paid by you to Metadome.ai for the Services during the twelve (12) months preceding the event giving rise to the claim or (b) USD 100, to the fullest extent permitted by applicable law.

Release

To the extent permitted by applicable law, you release Metadome.ai and its affiliates, officers, directors, employees, agents, licensors and service providers from claims, damages, demands, losses or liabilities arising out of or relating to your use of the Services, your User Inputs, your Outputs or your reliance upon any AI-generated Output, except to the extent such liability cannot lawfully be excluded or limited.

Indemnity

You agree to indemnify and hold Metadome.ai harmless from any claims, damages, liabilities, losses, costs and expenses (including legal fees) arising from:

• your use of the Services;
• your User Inputs or other Output submitted by you;
• your violation of these Terms or applicable laws;
• your infringement or misappropriation of any third-party intellectual property, privacy, confidentiality or other rights;
• your failure to obtain appropriate rights, permissions, licences or authorizations for User Inputs;
• your reliance upon, use of or actions taken based on an Output;
• any manufacturing, fabrication, repair, maintenance, installation or other activity undertaken by you based on an Output; and
• your violation of any applicable safety, technical, regulatory or professional requirements.

Compliance with all laws

You are solely responsible for complying with all applicable federal, state, local and international laws, regulations, standards and requirements applicable to your use of the Services and User Inputs. This includes, where applicable, laws and requirements relating to intellectual property, confidentiality, data protection, export controls, sanctions, product safety, manufacturing, engineering, workplace safety, machinery, repair, maintenance and technical standards.

Metadome.ai is not responsible for ensuring your compliance with laws or regulatory requirements applicable to your particular use of the Services.

Dispute resolution

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in California, and you consent to such jurisdiction.

If any provision of these Terms is held to be invalid or unenforceable, it shall be severed and the remaining provisions shall remain in full force and effect.

We may assign these Terms at our discretion. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

We reserve the right to refuse, modify, suspend or terminate the Services or these Terms at any time, subject to applicable law.
